These Terms & Conditions explain the basis on which FLIPSHIP LTD, trading as FlipShip, provides logistics, transport-compliance support, regulated shipping support, courier label support and related services.
By using our website, submitting an enquiry, requesting a Free Product Review, opening an account or using our services, you agree to these Terms & Conditions.
Our services are provided for business purposes only. They are not intended for consumers purchasing services wholly or mainly for personal use.

2. Our services
FlipShip may provide services including:
- Product and shipping reviews
- SDS or MSDS review support
- Product, packaging and destination checks
- Regulated-product shipping guidance
- Courier and route suitability checks
- Access to approved courier and shipping services, where available
- Courier label generation or support
- Ongoing shipment support for eligible approved products
- General compliance and operational support
- UK Mainland shipping support for approved customers, where available
The exact services provided will depend on your products, packaging, shipment volumes, courier requirements, destinations, approval status and the information you provide to us.
FlipShip does not guarantee that every product, destination, courier route or shipment can be supported.
3. When a contract begins
Submitting an enquiry, requesting a Free Product Review or completing an application does not create a contract or guarantee acceptance.
A contract begins only when:
- FlipShip confirms that your account or shipping setup has been approved
- The applicable services and charges have been communicated to you
- You accept those services, arrange payment or begin using the service
Any quotation or estimate is based on the information available at the time and may be amended if shipment details, courier charges, product information, destinations, service availability or applicable requirements change.
4. Free Product Reviews
A Free Product Review is an initial assessment only.
A review does not guarantee that a product can be shipped, that a courier will accept the shipment, that a shipment will be delivered or that a particular shipping route will remain available.
Shipping availability may depend on:
- The product and its classification
- Ingredients, composition or contents
- Packaging
- Documentation
- Destination
- Quantity
- Parcel weight and dimensions
- Courier acceptance
- Route availability
- Transport method
- Current regulations and carrier rules
Support is not confirmed until FlipShip has reviewed your setup and confirmed approval in writing.
5. Approval required
FlipShip support is not open-access.
You must not use FlipShip services, labels, courier details, account information or shipping support for any product, quantity, packaging format, collection address, delivery destination or shipping route that has not been reviewed and approved by FlipShip.
Approval may be limited to specific:
- Products
- Product classifications
- Packaging configurations
- Quantities
- Parcel weights and dimensions
- Collection addresses
- Courier services
- Destinations
- Transport routes
If your products, ingredients, packaging, quantities, courier setup, collection location or destinations change, you must tell FlipShip before using the service for the affected shipments.
FlipShip may refuse, pause, cancel or withdraw support if we reasonably believe that a shipment, product, customer setup or destination is unsuitable, incomplete, unsafe, unsupported or non-compliant.
6. Customer responsibilities
You are responsible for ensuring that all information provided to FlipShip is accurate, complete and up to date.
This includes:
- Product names and descriptions
- Product ingredients, materials or contents
- SDS or MSDS documents
- Classification information
- Packaging specifications
- Product and packaging photographs, where requested
- Shipment quantities
- Parcel weights and dimensions
- Collection and delivery addresses
- Recipient contact and delivery details
- Delivery destination type
- Courier account or shipping setup information
- Any changes to your products, packaging, volumes or destinations
FlipShip relies on the information you provide when reviewing and supporting shipments.
We are not responsible for losses, charges, delays or other issues caused by inaccurate, incomplete, outdated or misleading information supplied by you, your suppliers, manufacturers, employees, contractors or customers.
You must follow all instructions issued by FlipShip or the relevant courier relating to packaging, labelling, documentation, quantities and permitted routes.
7. Ownership of goods
Unless expressly agreed otherwise in writing, FlipShip does not buy, sell, manufacture, store or take ownership of the goods being shipped.
Ownership of the goods remains with you or the relevant owner throughout the shipping process.
FlipShip is not responsible for the manufacture, quality, safety, legality, sale or fitness for purpose of your products.
You remain responsible for ensuring that your products may lawfully be sold, supplied and shipped.
8. Prohibited use
You must not use FlipShip services to ship:
- Products that have not been reviewed and approved by FlipShip
- Quantities exceeding approved limits
- Products packed differently from the approved packaging setup
- Shipments from unapproved collection addresses
- Shipments to unapproved destinations
- Shipments using incorrect weights, dimensions or descriptions
- Products prohibited by the courier or applicable law
- Products that are illegal, unsafe, misdeclared or deliberately concealed
- Shipments where required documentation, labels or marks are missing or incorrect
- Counterfeit, stolen or unlawfully obtained goods
- Any goods listed in our Prohibited and Restricted Goods Policy
You must not alter, misuse, duplicate, transfer, resell or provide FlipShip courier labels, account details, shipping references or courier access to an unauthorised third party.
You must not represent yourself as FlipShip or contact a courier using FlipShip’s account details without our permission.
9. Product documentation
Where SDS, MSDS or other product information is required, you must provide accurate, current and complete documentation.
If documents are missing, outdated, incomplete, inconsistent or incorrect, FlipShip may be unable to provide support or may pause services until suitable information is provided.
You are responsible for ensuring that product documentation accurately reflects the goods being shipped.
FlipShip’s review of documentation does not transfer responsibility for the accuracy of that documentation from you, the manufacturer or the supplier to FlipShip.
10. Courier acceptance and shipping routes
Courier acceptance is not guaranteed.
A courier may refuse, delay, return, hold, dispose of, suspend or cancel a shipment where:
- The shipment does not meet its requirements
- Information is missing or incorrect
- Packaging or labelling is unsuitable
- Regulations restrict movement
- A route or service is unavailable
- The courier considers that the shipment cannot safely or lawfully be carried
Shipping routes, courier services, destinations, restrictions, surcharges and acceptance rules may change at any time.
FlipShip is not responsible for courier decisions, route changes, service suspensions, customs delays, regulatory changes or third-party service failures, except to the extent that the issue was directly caused by FlipShip’s negligence or breach of contract.
11. Mainland, offshore, island and non-mainland shipments
UK Mainland shipping may be supported as standard, subject to review and approval.
Some destinations may require additional checks, paperwork, courier approval or different transport routes.
These may include:
- Northern Ireland
- Isle of Man
- Channel Islands
- Scottish Islands
- Isle of Wight
- Scottish Highlands
- Offshore UK locations
- Island destinations
- International destinations
- Routes involving ferry, sea or air transport
Dangerous Goods, Limited Quantity, Excepted Quantity and other regulated shipments sent to these destinations may require additional documentation, courier approval, customs paperwork, sea-transport documentation, air-transport checks, route checks or regulatory review.
FlipShip may request additional information before supporting these shipments and may refuse, pause or cancel support where the required documentation, courier route, regulatory approval or service availability is not in place.
These destinations may also be subject to longer transit times, additional courier charges, separate surcharges and an increased risk of delay.
12. Shipment loss, damage or delay
Unless otherwise expressly agreed in writing, FlipShip is not the carrier of the goods and does not physically transport shipments.
Shipments are carried by third-party courier or logistics providers. Their terms, conditions, restrictions, liability limits and claims processes may apply.
Subject to Section 24, FlipShip is not responsible for losses arising solely from:
- Lost shipments
- Damaged shipments
- Delayed shipments
- Failed collections
- Failed delivery attempts
- Courier refusals
- Courier returns
- Courier holds
- Customs delays
- Ferry, sea, air or route delays
- Offshore or island delivery delays
- Address errors
- Recipient unavailability
- Delivery disputes
- Acts or omissions of third-party carriers
Where a shipment is lost, damaged or delayed, FlipShip may assist with raising a courier query or claim where possible.
We do not guarantee that a courier claim will be accepted or paid.
Any compensation obtained from the courier will be subject to the courier’s terms, evidence requirements and liability limits.
Unless the loss was directly caused by FlipShip’s negligence or breach of contract, any payment made to you will not exceed the amount recovered from the relevant courier or third party.
13. Packaging and labelling
You are responsible for ensuring that goods are packed safely, securely and in accordance with all instructions provided by FlipShip or the relevant courier.
Where regulated shipping marks, labels or documentation are required, you must ensure they are applied accurately and remain clearly visible, unless FlipShip has expressly agreed in writing to undertake that work.
You must not:
- Reuse shipping or regulated-product labels
- Alter labels or shipping documents
- Remove required markings
- Cover required labels or markings
- Apply labels to unapproved parcels
- Use a label for a different parcel or shipment
FlipShip is not responsible for shipment issues caused by poor or incorrect packaging, missing or damaged labels, incorrect marks, incorrect documentation, inaccurate parcel information or failure to follow the instructions provided.
14. Dangerous Goods and regulated products
Some products may be subject to Dangerous Goods, Limited Quantity, Excepted Quantity, courier-specific or other regulated shipping requirements.
You must not submit regulated shipments unless the product, quantity, packaging, labelling and destination have been reviewed and accepted for the relevant shipping route.
Some destinations and transport routes may require additional Dangerous Goods documentation, courier approval, customs paperwork, sea-transport documentation, air-transport checks or other regulatory checks.
FlipShip may refuse to support any shipment that we reasonably believe is unsuitable, non-compliant, incomplete, unsafe, unsupported or outside the scope of our service.
Products sent incorrectly may be stopped, delayed, returned, refused or disposed of by the courier or relevant authorities.
Businesses may also face courier-account restrictions, enforcement action, financial penalties or prosecution.
You are responsible for ensuring that your staff, contractors and fulfilment providers follow any instructions supplied for regulated shipments.
15. International shipments, customs and duties
International shipments may be subject to:
- Customs checks
- Import and export restrictions
- Duties and taxes
- Customs declarations
- Commodity-code requirements
- Product-origin requirements
- Licensing requirements
- Local laws and regulations
FlipShip is not responsible for customs delays, customs charges, import refusals, local regulatory restrictions, duties, taxes, penalties or delays caused by missing, inaccurate or incomplete information, except where directly caused by FlipShip’s negligence or breach of contract.
Unless expressly agreed otherwise in writing, you or your customer are responsible for all duties, taxes, customs charges, import costs, brokerage charges and local fees.
International shipping is only available where expressly confirmed by FlipShip.
16. Pricing and payment
Pricing may depend on:
- The products being shipped
- Product classification
- Shipment volume
- Parcel weight and dimensions
- Collection and delivery location
- Courier service
- Support required
- Applicable courier charges and surcharges
Prices, estimates and quotations may be revised if shipment details, courier costs, fuel charges, surcharges, service availability, product details, destination details or regulatory requirements change.
Offshore, island, non-mainland and international shipments may incur additional charges.
Payment may be required by Direct Debit, card, bank transfer or another agreed payment method.
You must maintain valid payment details while using FlipShip’s services.
FlipShip may pause, restrict or refuse services where an invoice or other amount remains unpaid.
Unless otherwise expressly stated, prices displayed on our website exclude VAT. VAT will be added at the applicable rate where FLIPSHIP LTD is required to charge it.
17. Monthly membership fees
Where a monthly membership fee applies, it keeps your FlipShip account and reviewed support access active.
The standard monthly membership fee will be confirmed during onboarding and before payment is arranged.
Unless another start date is confirmed in writing, the monthly membership begins when your account has been approved and you complete the required payment or Direct Debit setup.
The membership renews automatically each month until cancelled in accordance with these Terms.
Monthly membership fees do not include:
- Per-shipment courier charges
- Courier surcharges
- Customs charges
- Duties or taxes
- Claims charges
- Return charges
- Other third-party costs
These charges will be invoiced or collected separately unless expressly stated otherwise.
Monthly membership fees are payable whether or not you submit any shipments during that month.
Membership fees already paid are not refundable or credited for unused or part-month periods, except where required by law or expressly agreed by FlipShip.
FlipShip may pause, restrict or cancel account access if payment is not received, a payment fails or a Direct Debit instruction is cancelled.
18. Direct Debit payments
FlipShip may use GoCardless or another authorised payment provider to collect monthly membership fees, shipment charges, courier surcharges and other agreed amounts by Direct Debit.
You must ensure that sufficient funds are available and that your Direct Debit instruction remains active while using FlipShip’s services.
You will be notified of payment amounts and collection dates in accordance with the applicable Direct Debit scheme requirements.
Cancelling a Direct Debit instruction does not cancel your FlipShip membership or remove your responsibility to pay amounts already due.
Where a payment fails, FlipShip may:
- Retry the payment
- Request payment by another method
- Pause account access
- Suspend label generation or shipment processing
- Recover reasonable costs associated with the failed payment
Per-shipment charges, courier surcharges and other variable charges may be invoiced or collected separately after the relevant shipment has been processed.
The applicable billing frequency and payment arrangements will be confirmed during onboarding.
Courier charges may sometimes be received after the original shipment has been completed. Any later charges, corrections or surcharges properly attributable to your shipment may therefore be invoiced or collected after the original payment.
Your rights under the Direct Debit Guarantee are not affected by these Terms.
19. Courier surcharges and additional charges
Courier surcharges and additional costs may apply in addition to listed or quoted shipment prices.
These may include:
- Fuel or energy surcharges
- Offshore or island surcharges
- Remote-area surcharges
- Failed collection charges
- Return charges
- Relabelling charges
- Address-correction charges
- Non-compatible parcel charges
- Oversize or overweight parcel charges
- Additional-handling charges
- Customs or clearance charges
- Additional parcel charges
- Storage charges
- Disposal charges
- Charges caused by incorrect weights, dimensions, service selection or shipment information
Applicable courier surcharges, third-party charges and additional costs may be passed on to you.
FlipShip may apply a reasonable administration charge where additional work is required because of inaccurate information, failed collections, surcharge disputes, courier queries, unauthorised shipments or customer error.
Where possible, the administration charge will be communicated before the additional work is undertaken.
20. Cancellation and termination
You may cancel your FlipShip membership by emailing info@flip-ship.com.
Unless a separate minimum term or notice period has been agreed in writing, cancellation will take effect at the end of your current paid monthly period.
To prevent another collection, you should notify us before the next payment has been submitted for processing.
Monthly membership fees already paid are non-refundable, except where required by law or expressly agreed by FlipShip.
Cancelling your membership does not cancel:
- Shipment charges already incurred
- Courier surcharges
- Outstanding invoices
- Charges arising after cancellation for shipments booked before cancellation
- Any other amounts already due
FlipShip may suspend, cancel or terminate services if:
- You fail to pay amounts due
- You provide inaccurate, incomplete or misleading information
- You misuse labels, courier access or account information
- You ship unapproved products, quantities or destinations
- Your shipments create courier, compliance, safety or operational concerns
- A courier withdraws support
- We can no longer support your products, route or setup
- You breach these Terms & Conditions
- We reasonably suspect fraud, unlawful activity or misuse of the service
Where reasonably possible, we will explain the reason for suspension or termination.
Termination does not affect rights, obligations or amounts that arose before termination.
21. Service availability
FlipShip may update, suspend, withdraw or refuse services where reasonably necessary for operational, courier, regulatory, compliance, commercial or safety reasons.
We do not guarantee that every product, destination, courier route or shipment will be supported.
We do not guarantee uninterrupted access to any courier platform, label process, account setup, website, form or support channel.
Where practical, we will provide reasonable notice of material changes affecting an active customer.
Immediate action may be required where a safety, regulatory, courier or legal concern arises.
22. Customer and recipient information
Where you provide customer, recipient or delivery information to FlipShip, you are responsible for ensuring that you have a lawful basis for sharing that information with us.
This may include:
- Names
- Postal addresses
- Email addresses
- Telephone numbers
- Delivery instructions
- Order details
- Product and shipment information
You must provide your customers with appropriate privacy information explaining how their information may be used and shared for shipping and fulfilment purposes.
FlipShip will process personal information in accordance with our Privacy Policy.

23. Third-party services
FlipShip may use or refer customers to third-party couriers, payment providers, platforms, systems, software providers, compliance providers and logistics partners.
Relevant third-party terms, restrictions and privacy policies may apply.
FlipShip is not responsible for the acts, omissions, delays, failures, errors, charges, service changes or decisions of third parties, except where FLIPSHIP LTD is legally responsible or the issue was directly caused by FlipShip’s negligence or breach of contract.
24. Limitation of liability
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot lawfully be excluded or limited
Subject to the above, FlipShip will not be liable for indirect or consequential losses, including:
- Loss of profit
- Loss of sales or revenue
- Loss of business
- Loss of anticipated savings
- Loss of goodwill
- Loss of opportunity
- Reputational damage
- Customer complaints
- Losses caused by courier failure, delay or service withdrawal
- Losses caused by customs or regulatory delays
FlipShip will not be liable for a failure caused by information, documents or instructions supplied inaccurately or incompletely by you or another party acting on your behalf.
Subject to any liability that cannot lawfully be limited, the total liability of FLIPSHIP LTD arising from a particular event or connected series of events will not exceed the total amount paid by you to FLIPSHIP LTD for the services giving rise to the claim during the six months immediately preceding the event.
Each party must take reasonable steps to reduce or mitigate any loss it suffers.
25. Events outside our control
FlipShip will not be responsible for a failure or delay caused by circumstances beyond our reasonable control.
These may include:
- Extreme weather
- Fire or flooding
- Industrial action
- Transport disruption
- Courier network disruption
- War, terrorism or civil unrest
- Epidemics or pandemics
- Government action
- Customs or border disruption
- Changes in law or regulation
- Power, internet or systems failure
- Failure of a third-party platform or courier network
We will take reasonable steps to reduce the effect of such circumstances and resume services where reasonably possible.
26. Website information
Information on the FlipShip website is provided for general information and guidance.
It should not be treated as legal advice or as definitive transport-compliance advice for every situation.
Specific shipping requirements may vary depending on the product, classification, quantity, packaging, destination, transport mode, courier and current regulations.
A customer should obtain independent professional advice where appropriate.
Website information may be amended as services, courier requirements and regulations change.
27. Intellectual property
All website content, branding, wording, graphics, layouts, documents, checklists and other materials belong to FLIPSHIP LTD or are used with permission.
You must not copy, reproduce, modify, distribute, publish, resell or commercially use our content without prior written permission.
You may use instructions and documents supplied to you solely for the purpose of preparing and submitting approved shipments through FlipShip.
You must not provide FlipShip materials, processes, account details or documents to unauthorised third parties.
28. Confidentiality
Each party must keep confidential any commercially sensitive or non-public information received from the other in connection with the services.
This obligation does not apply to information that:
- Is already publicly available through no breach of these Terms
- Was lawfully known before it was disclosed
- Is received lawfully from another source
- Must be disclosed by law, a court, a regulator or a relevant authority
FlipShip may share necessary information with couriers, compliance providers, payment providers, professional advisers and other service providers where required to provide the services or comply with legal obligations.
29. Changes to these Terms
We may update these Terms & Conditions from time to time.
The latest version will be published on this page, together with the date it was last updated.
Where a change materially affects an active paid service, we will take reasonable steps to notify affected customers.
Continued use of the service after an updated version takes effect will constitute acceptance of the updated Terms, provided that the changes have been brought to your attention where reasonably required.
30. Transfer of rights
You may not transfer or assign your FlipShip account, agreement or rights under these Terms without our prior written permission.
FLIPSHIP LTD may transfer its rights and obligations as part of a business reorganisation, sale, merger or transfer, provided this does not materially reduce your contractual rights.
31. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as removed or modified to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
32. No waiver
If FlipShip does not immediately enforce a right under these Terms, this does not mean that the right has been waived.
Any waiver must be confirmed in writing and applies only to the particular circumstances for which it was given.
33. Entire agreement
These Terms, together with any written quotation, service confirmation, approval instructions and applicable policies, form the agreement between you and FLIPSHIP LTD.
You acknowledge that you have not relied on any statement or promise that is not included in those documents, except that nothing in this section excludes liability for fraud or fraudulent misrepresentation.
Where a written quotation or service agreement expressly conflicts with these Terms, the written quotation or service agreement will take priority for that specific service.
34. Governing law
These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
